These Terms & Conditions apply to products, equipment and services supplied by UMA Industries / Machine Control Systems, Faridabad through phmeters.in, quotations, proforma invoices, purchase orders, direct sales and other agreed commercial transactions.
By placing an order, accepting our quotation, making an advance or other payment, or instructing us to manufacture, prepare or dispatch a product, the customer agrees to the applicable terms stated below together with the product-specific quotation, invoice and written order confirmation.
1. Seller Information

2. Product Selection and Suitability
We manufacture and supply industrial meters, controllers, sensors, electronic instruments, laboratory instruments, automation products, machines and related equipment.
Before purchasing, customers should carefully check the applicable product description, technical specifications, measuring range, input type, output type, relay requirements, supply voltage, dimensions, sensor compatibility, operating conditions and other important requirements.
The customer is responsible for informing us of any special application or technical requirement before confirming the order.
Where the customer has provided a particular operating requirement, process condition or technical specification to us, we will make reasonable efforts to recommend or manufacture a suitable product according to the information supplied.

3. Quotations and Order Confirmation
Product configuration, price, quantity, taxes, payment terms, dispatch schedule and other commercial conditions may be stated in our quotation, proforma invoice or written order confirmation.
Where a quotation, proforma invoice or written order confirmation contains product-specific conditions that differ from these general Terms, the specifically agreed written commercial conditions will apply to that order to the extent permitted by applicable law.
Customers should review all technical and commercial details before confirming an order.
4. Advance and Payment Terms
Unless different payment terms are stated in our quotation, proforma invoice or written order confirmation, the normal payment terms for manufactured, customized or prepared-to-order equipment are:
- 50% advance payment along with the confirmed order to start manufacturing, preparation, procurement or assembly.
- The remaining balance payment must be paid before dispatch.
- Total payment must therefore reach 100% before dispatch, unless different credit or payment terms have been specifically agreed in writing.
For ready-stock products or online website orders, full payment may be required at checkout or before dispatch according to the applicable order and payment method.
Manufacturing or preparation may not begin until the required advance payment and confirmed order details have been received.
5. Manufacturing and Preparation
Customized, made-to-order, programmed, calibrated, fabricated or specially configured products may be prepared according to the technical requirements confirmed by the customer.
Manufacturing and dispatch schedules are estimates and may depend on product complexity, availability of components, customer approval, testing and other reasonable production requirements.
6. Pre-Dispatch Inspection
Material or machine inspection is available at our works before dispatch, subject to prior arrangement.
Customers who require inspection, demonstration or verification before dispatch should inform us sufficiently in advance so that an appointment can be arranged.
Depending on the product, inspection may include physical inspection, functional demonstration or verification against the mutually agreed order specification.
7. Shipping and Delivery
Shipping, packing, dispatch, delivery estimates, courier arrangements and transit-related conditions are governed by our Shipping Policy.
Delivery schedules may vary according to product type, destination, courier or transport availability and whether the product is ready-stock, customized or made to order.
8. Returns and Refunds
Eligible products may be requested for return within 10 days from the date of delivery, subject to the conditions of our Return & Refund Policy.
The return request should clearly explain the reason for return and, where relevant, include supporting photographs, video, order details, technical observations or other information reasonably required to evaluate the issue.
Customized, made-to-order, specially programmed, calibrated or customer-specific products may have restricted return eligibility, except where the product is defective, damaged, incorrectly supplied or otherwise required to be accepted under applicable law.
9. Transit Damage
If a product is received damaged, tampered with, incomplete or otherwise affected during transportation, the customer should notify us as soon as reasonably possible.
Photographs of the package, shipping label and product, together with an unboxing video where reasonably possible, may help us investigate the claim with the courier or transport provider.
Transit-damage claims and eligible returns remain subject to the Shipping Policy and the applicable 10-day return period from delivery.
10. One-Year Warranty
Unless a different warranty period is specifically stated in the quotation, invoice or product documentation, Digital Meters, Digital Controllers and Machines sold by UMA Industries / Machine Control Systems carry a one-year warranty from the date of invoice.
The warranty covers manufacturing defects or failures occurring during normal use under the specified operating conditions.
Warranty service is normally provided at our factory premises in Faridabad.
Unless on-site service has been separately agreed in writing, warranty coverage does not automatically include an engineer's visit to the customer's site.
11. Warranty Inspection, Repair and Replacement
A product submitted for warranty service will be inspected by our technical expert, service engineer or authorized inspection representative.
Based on the inspection report, product condition and cause of failure, UMA Industries / Machine Control Systems may:
- Repair the defective product or component;
- Replace the defective component;
- Replace the product where repair is not reasonably appropriate; or
- Advise the customer if the reported condition is not covered by warranty.
Repair or replacement under warranty does not automatically create a new one-year warranty period unless expressly confirmed in writing. The original applicable warranty period normally continues.
12. Warranty Exclusions
Warranty may not apply where damage or failure results from causes unrelated to a manufacturing defect, including:
- Incorrect installation or wiring;
- Incorrect supply voltage or electrical connection;
- Short circuit, electrical surge or external electrical fault;
- Misuse, abuse or operation outside stated specifications;
- Physical damage occurring after delivery;
- Unauthorized modification, opening, repair or alteration;
- Water, chemical or environmental damage where the product is not designed for such exposure;
- Fire, lightning or other external causes;
- Normal wear and tear;
- Consumable or replaceable items unless such items are specifically covered by a written warranty.
Warranty eligibility will be determined after reasonable technical inspection of the returned product.
13. Warranty Transportation and Transit Insurance
For normal warranty repair or inspection requests made after the applicable return period, the customer is normally responsible for sending the product to our Faridabad factory and for applicable transportation and transit-insurance charges in both directions, unless otherwise agreed in writing or required under applicable law.
Customers should pack products securely before sending them for warranty inspection.
This warranty-transport provision does not replace the separate conditions applicable to products received damaged, defective or incorrectly supplied during the 10-day Return & Refund Policy period.
14. Technical Support and Service Requests
Customers may contact us for technical support by telephone, WhatsApp or email.
When reporting a technical problem, please provide the product model, invoice or order details and a clear description of the problem. Photographs or video may be requested where useful for diagnosis.
If an email or message does not resolve your query within 2–3 working days, we recommend contacting us by telephone for faster follow-up.

15. Installation and Use
Products should be installed, wired, operated and maintained according to the applicable technical instructions and good industrial practice.
Electrical instruments and controllers should be installed by a suitably competent person familiar with the applicable equipment and process.
Customers should confirm supply voltage, wiring, sensor input, output connections and operating conditions before energizing electrical equipment.
16. Cancellation of Orders
Customers may request cancellation before dispatch, subject to the applicable order status.
Cancellation of customized or made-to-order products may not be possible once manufacturing, programming, calibration, fabrication, special procurement or other customer-specific work has started.
Any applicable cancellation or refund will be considered according to the stage of the order, costs already incurred and applicable law.
17. Taxes and Invoices
Applicable GST, freight, packing or other agreed charges will be stated in the applicable quotation, checkout, proforma invoice, tax invoice or order confirmation.
Customers requiring GST invoicing should provide accurate billing and GST information before the invoice is finalized.
18. Delays and Events Outside Reasonable Control
We will make reasonable efforts to meet confirmed production and dispatch schedules.
However, delays may occur because of events outside our reasonable control, including component shortages, transport disruption, government restrictions, natural events, fire, strikes, power disruption or other circumstances that could not reasonably be prevented.
Where practicable, we will communicate significant known delays affecting an order.
19. Limitation of Liability
To the extent permitted by applicable law, UMA Industries / Machine Control Systems will not be responsible for indirect, incidental or consequential business losses arising solely from downtime, production interruption or loss of production resulting from the use or temporary unavailability of a product.
Customers operating critical industrial processes should maintain reasonable operational safeguards, backups and maintenance procedures appropriate to their application.
Nothing in these Terms excludes or limits any liability or legal right that cannot lawfully be excluded or limited.
20. Statutory Consumer Rights
These Terms, the Warranty Policy, Shipping Policy and Return & Refund Policy are intended to describe our normal commercial procedures.
Nothing in these Terms is intended to remove or restrict any mandatory right or remedy available to a customer under applicable Indian law.
21. Governing Law and Jurisdiction
These Terms and transactions with UMA Industries / Machine Control Systems are governed by the applicable laws of India.
For business-to-business or other contractual disputes for which jurisdiction may lawfully be agreed between the parties, courts having competent jurisdiction at Faridabad, Haryana shall have jurisdiction, subject to applicable law.
Nothing in this clause prevents a consumer from approaching a Consumer Commission or other statutory authority or forum having jurisdiction under applicable law.
22. Changes to These Terms
We may update these Terms & Conditions from time to time to reflect changes in products, business practices, website functionality or applicable requirements.
The version applicable to a confirmed order will be interpreted together with the quotation, invoice and other written conditions agreed for that transaction.
